The terms “NutriLake,” “we,” “us,” and “our” refer to NUTRILAKE HEALTH INC.

Our online store is hosted and powered by Shopify, which provides the ecommerce platform that enables us to offer the Services to you.

3. Dietary Supplement Notice

NutriLake products are dietary supplements and are not drugs or medical treatments.

Statements relating to dietary supplements have not been evaluated by the U.S. Food and Drug Administration. NutriLake products are not intended to diagnose, treat, cure, or prevent any disease.

Information presented through the Services is provided for general informational and educational purposes only. It is not intended to replace advice, diagnosis, or treatment from a physician, pharmacist, or other qualified healthcare professional.

Before using a dietary supplement, consult a qualified healthcare professional, particularly if you:

Submitting an order constitutes an offer to purchase the selected products.

An automated order confirmation acknowledges receipt of your order but does not necessarily mean that the order has been finally accepted.

8. Prices, Promotions, and Billing

Prices, discounts, promotions, and product availability may change without notice before an order is placed.

The price charged will be the price displayed at checkout when the order is submitted, subject to correction of obvious errors.

Unless expressly stated otherwise, displayed product prices do not include:

• Shipping charges
• Sales or other applicable taxes
• Customs duties
• Import charges
• Other government-imposed fees

Applicable charges will be displayed during checkout when reasonably available.

Discounts have no cash value and cannot be redeemed for cash unless required by law. We may reject or cancel discounts obtained through fraud, manipulation, duplication, or unauthorized distribution.

You agree to provide accurate and complete payment and billing information and represent that you are authorized to use the payment method submitted.

9. Pricing and Information Errors

The Services may occasionally contain typographical errors, inaccurate prices, incorrect product descriptions, inventory errors, or omissions.

We may correct an error and update information when discovered.

If an obvious pricing or material product-information error affects an order, we may contact you to:

• Confirm whether you wish to proceed with corrected information; or
• Cancel the affected order and issue a refund

We will not charge a corrected higher price without obtaining your agreement.

Delivery dates are estimates unless we expressly state otherwise. Actual delivery may be affected by inventory, address verification, carrier operations, weather, customs, holidays, and events outside our reasonable control.

You are responsible for providing an accurate and complete shipping address.

If we become unable to ship within the stated timeframe, we will provide notice as required by applicable law and give you the applicable option to:

• Agree to the revised shipment timeframe; or
• Cancel the affected order and receive a refund

Risk of loss and ownership of products are determined according to applicable law. If a package is lost, damaged, or marked as delivered but cannot be located, contact us promptly so we can review the issue and assist with any available carrier investigation.

11. Returns, Exchanges, and Refunds

Returns, exchanges, satisfaction-guarantee requests, and refunds are governed by our 60-Day Refund, Return and Exchange Policy:

You must obtain return authorization before mailing a product to our return warehouse.

Unauthorized returns may not be accepted or processed.

Refund eligibility, return-shipping responsibility, opened-product limitations, and satisfaction-guarantee terms are determined by the Refund and Return Policy displayed when your order is placed.

Nothing in these Terms limits any non-waivable consumer right provided by applicable law.

12. Order Changes and Cancellations

If you wish to change or cancel an order, contact support@nutrilakelabs.com as soon as possible.

We cannot guarantee that an order can be changed or canceled after it has entered processing or has been shipped.

If an order has already shipped, the applicable return conditions will apply.

If we successfully cancel a paid order before shipment, the refund will be issued to the original payment method.

13. Intellectual Property

The Services and their content are owned by or licensed to NUTRILAKE HEALTH INC and are protected by applicable intellectual property laws.

Protected content may include:

• NutriLake names and trademarks
• Logos
• Product names
• Product packaging and designs
• Text
• Images
• Graphics
• Videos
• Audio
• Website design
• Software
• Product descriptions
• Other original content

You may access the Services for lawful, personal, non-commercial use.

Without our prior written permission, you must not:

• Reproduce or republish protected content
• Modify or create derivative works
• Sell, license, or commercially exploit content
• Remove copyright, trademark, or ownership notices
• Use NutriLake trademarks in a misleading manner
• Imply sponsorship, endorsement, or authorization
• Copy product listings for unauthorized resale
• Use content to train or develop a commercial artificial intelligence system where prohibited by applicable law

No provision of these Terms transfers ownership of any intellectual property to you.

Shopify and other third-party names, logos, and trademarks belong to their respective owners.

14. Reviews, Feedback, and User Content

You may be able to submit reviews, questions, photographs, testimonials, suggestions, or other content (“User Content”).

You retain ownership of your User Content. By submitting it, you grant NutriLake a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to host, reproduce, format, publish, display, distribute, and use the User Content in connection with operating, improving, and promoting the Services.

This license continues for as long as the content is used in connection with the Services, subject to applicable privacy and consumer laws.

You represent that:

• You own or have permission to submit the User Content.
• The User Content is accurate and reflects your genuine experience.
• You have disclosed any payment, free product, discount, or other incentive connected to the content.
• The User Content does not violate another person’s intellectual property, privacy, publicity, or other rights.
• The User Content is not unlawful, defamatory, threatening, obscene, fraudulent, or misleading.
• The User Content does not contain malware or harmful code.

We may moderate, reject, remove, or decline to publish User Content that violates these Terms or applicable law.

We are not required to compensate you, treat User Content as confidential, or respond to it unless separately agreed in writing.

15. Prohibited Uses

You may use the Services only for lawful purposes.

You must not:

• Violate any applicable law or regulation
• Engage in fraud or payment abuse
• Provide false or misleading information
• Impersonate another person or organization
• Infringe intellectual property, privacy, or publicity rights

17. Relationship with Shopify

The Services are powered by Shopify, which provides the ecommerce platform used to operate our store.

Purchases made through the store are transactions directly between you and NUTRILAKE HEALTH INC. Shopify is not the seller of NutriLake products and is not responsible for product quality, fulfillment, returns, refunds, injuries, losses, or disputes arising from your purchase, except to the extent Shopify separately provides a service directly to you or applicable law provides otherwise.

Your use of Shopify-provided features may also be governed by Shopify’s applicable terms and privacy policies.

EXCEPT FOR EXPRESS WARRANTIES PROVIDED IN WRITING OR RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED, WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT:

• THE SERVICES WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, OR ERROR-FREE;
• WEBSITE CONTENT WILL ALWAYS BE COMPLETE OR CURRENT;
• EVERY PRODUCT WILL PRODUCE A PARTICULAR RESULT; OR
• THE SERVICES WILL BE FREE FROM EVERY SECURITY THREAT.

THIS SECTION DOES NOT EXCLUDE ANY WARRANTY, REMEDY, OR CONSUMER RIGHT THAT CANNOT BE WAIVED UNDER APPLICABLE LAW.

20. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NUTRILAKE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR A CLAIM RELATING TO A PRODUCT OR ORDER WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM.

THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED, INCLUDING LIABILITY ARISING FROM FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE, OR OTHER NON-WAIVABLE LEGAL OBLIGATIONS.

Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, these provisions apply only to the maximum extent permitted by law.

21. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless NUTRILAKE HEALTH INC and its officers, directors, employees, affiliates, and agents from third-party claims, losses, liabilities, damages, and reasonable legal expenses arising directly from:

• Your material violation of these Terms
• Your unlawful use of the Services
• Your infringement of another person’s rights
• User Content you submit
• Your fraudulent or unauthorized commercial activity

This obligation does not apply to the extent a claim results from NutriLake’s negligence, willful misconduct, violation of law, or breach of these Terms.

We will provide reasonable notice of an indemnified claim and allow reasonable participation in its defense, subject to applicable law.

22. Suspension and Termination

You may stop using the Services at any time.

We may suspend or terminate access when reasonably necessary because of:

• A material violation of these Terms
• Fraud or suspected fraud
• A security threat
• Abuse of discounts, returns, reviews, or accounts
• Unlawful activity
• A legal or regulatory requirement
• Discontinuation of the Services

Termination does not affect rights or obligations that arose before termination.

Provisions that by their nature should survive termination will remain effective, including provisions concerning intellectual property, User Content, disclaimers, liability, indemnification, governing law, and disputes.

23. Governing Law and Venue

These Terms are governed by the laws of the State of California and applicable federal law, without regard to conflict-of-law principles.

Subject to any non-waivable consumer rights or laws requiring a different forum, legal proceedings relating to these Terms or the Services may be brought in the state or federal courts located in Los Angeles County, California.

Nothing in this section prevents a consumer from relying on mandatory protections provided by the laws of the consumer’s place of residence.

24. Changes to the Services or Terms

We may update the Services and these Terms to reflect changes in our business, products, technology, policies, or legal obligations.

The current version will be posted on this page with an updated effective date.

Material changes will apply prospectively. Where required by law, we will provide additional notice or obtain consent.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms, except where applicable law requires another form of agreement.

The Terms applicable to an order are generally those displayed when the order is placed.

25. Severability

If any provision of these Terms is held unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted or severed if necessary.

The remaining provisions will continue in effect.

26. No Waiver

A failure or delay in exercising a right under these Terms does not waive that right.

A waiver is effective only if made expressly and in writing by the party granting it.

27. Assignment

You may not transfer or assign your rights or obligations under these Terms without our prior written consent.

We may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, or sale of all or part of our business, subject to applicable law.

28. Entire Agreement

These Terms and the policies incorporated by reference constitute the entire agreement between you and NutriLake concerning the Services and replace prior agreements concerning the same subject matter.

If a specific promotion or written agreement conflicts with these Terms, the more specific terms will govern for that subject.
